Starting a Business Across the West Virginia Line: Huntington, Wheeling, Weirton, Martinsburg and Bluefield Metros
Starting a Business Across the West Virginia Line: Huntington, Wheeling, Weirton, Martinsburg and Bluefield Metros
Five of West Virginia's metro areas reach across a state line, and many owners in them serve customers on both sides. If you are planning a border business in West Virginia, the first question is not where your customers live. It is where your business is located, because West Virginia's requirements attach to a West Virginia location. This guide covers what applies on the West Virginia side of the line in Huntington, Wheeling, Weirton, Martinsburg, Bluefield and the surrounding counties.
This guide is informational content, not legal or tax advice. Fees, rates and city ordinances change. Confirm anything that affects your plan with the named agency, and talk with a qualified attorney or CPA before you commit to a structure or a lease.
Start with where your business is located
West Virginia has no general statewide business license. The closest equivalent is the Business Registration Certificate from the State Tax Division. It costs $30, it is permanent until the business name, location or ownership changes, and each fixed business location needs its own certificate. Every individual or business entity must hold one before doing business in the state.
Registering an LLC or corporation with the Secretary of State is a filing, not a license. An approved LLC filing does not replace the Business Registration Certificate, and the two come from different agencies.
Customers across the line do not change this. A shop, office, warehouse or service base located in West Virginia brings the West Virginia requirements with it, even if most of your sales are in Ohio, Kentucky, Maryland or Virginia. If your business has no West Virginia location and you sell across the line, the answer depends on facts this guide does not cover, so ask a CPA or attorney before assuming either way.
The five metros at a glance
These 2025 Census Bureau estimates describe the whole metro area, not just the West Virginia portion. The table shows the West Virginia counties at the core of each market and the other side of the line.
| Metro area | 2025 estimate | West Virginia counties | Other side of the line |
|---|---|---|---|
| Huntington-Ashland | 365,965 | Cabell and Wayne | Kentucky and Ohio |
| Wheeling | 134,089 | Ohio and Marshall | Ohio |
| Weirton-Steubenville | 112,468 | Hancock and Brooke | Ohio |
| Hagerstown-Martinsburg | 315,280, up 7.3% | Berkeley | Maryland |
| Bluefield | Confirm the current Census Bureau figure | Mercer | Virginia |
The Eastern Panhandle has its own pattern. Berkeley County, home to Martinsburg, grew 14.3% from 2020 to 2025, and Jefferson County grew 9.4%. Jefferson County sits inside the Washington metro area, and Hampshire County sits inside the Winchester metro area, which reaches into Virginia. Those metro labels describe the labor and customer markets you compete in. They do not change which West Virginia rules apply to a business located in those counties.
State costs that apply on either side of the line
These are the state-level figures for a West Virginia company. Confirm current amounts on the Secretary of State and Tax Division sites before you file.
- LLC formation: Articles of Organization (Form LLD-1) carry a $100 filing fee. Standard processing takes 5 to 10 business days. Expedited options add $25 for same-day or next-business-day in-person service, $250 for 2-hour service, or $500 for 1-hour service. Online filings add a $1.00 portal processing fee.
- Corporation formation: Articles of Incorporation (Form CD-1) carry a $100 filing fee. Nonprofits use Form CD-1NP.
- Name reservation: $15, held for 120 days.
- Annual report: $25, filed between January 1 and June 30 each year following the year of registration. An LLC that files after June 30 pays $75, because a $50 late fee applies. For corporations, the late fee is $50 for for-profit organizations and $25 for nonprofits.
- Registered agent: An LLC does not need a separate commercial registered agent. Form LLD-1 asks for an agent for service of process only if you have one, and the Secretary of State can accept service on the company's behalf. If you do name an agent, keep the name and address current. Changes are filed on Form AAO for $15.
- Trade names (DBAs): A DBA is filed with the Secretary of State, not a county clerk. Individuals, sole proprietorships and general partnerships pay no fee (Form TN-1). Corporations, LLCs and other registered entities pay $25 on Form NR-3, plus a $1.00 online processing fee if filed through the One Stop Business Portal.
- Income taxes: West Virginia repealed its business franchise tax. An LLC pays no state franchise tax and, as a pass-through entity, no corporation net income tax. Members report LLC income on the personal income tax, which runs from 2.11% to 4.58% across five brackets for tax year 2026. A corporation pays a 6.5% corporation net income tax on federal taxable income, apportioned by a single sales factor.
- Sales tax: The state rate is 6%. Cities in 101 municipalities add a 1% local sales tax on top, and that number rises to 107 on January 1, 2027.
City rules: where most of the local cost sits
West Virginia has 55 counties and 230 incorporated places, and most of the local cost for shops, contractors and service businesses comes from the city. The state business and occupation (B&O) tax applies only to utilities. The gross-receipts B&O tax that reaches most other businesses is levied by cities, together with a city business license and a weekly per-worker city service fee. Each city sets its own rates, so the answer for Huntington is not the answer for Martinsburg.
Before you sign a lease, ask the city clerk or finance office about:
- The current B&O rate and whether it applies to your type of activity
- The city business license, its fee and its renewal date
- The weekly per-worker service fee, how it is collected, and whether it covers workers who live outside the city
- Whether the city has adopted the 1% local sales tax
- Zoning and home-based business rules, which are local and vary by city
State trade licenses
West Virginia licenses many trades statewide, so a contractor in Huntington faces the same state rules as one in Bluefield. Confirm the current fee and application process with the agency before you advertise work.
| Activity | Agency | What to know |
|---|---|---|
| Contracting | Contractor Licensing Board | A license is required for residential work above $5,000 or commercial work above $25,000. Confirm the fee and classification. |
| Electrical work | State Fire Marshal | Electricians are licensed through the State Fire Marshal. Confirm the fee and exam requirements. |
| Plumbing and HVAC | Division of Labor | Plumbers and HVAC technicians are licensed through the Division of Labor. Confirm the fee. |
| Alcohol | Alcohol Beverage Control Administration (ABCA) | Any sale or service of alcohol requires an ABCA license. Confirm the license type that fits your business. |
| Food, hemp, kratom and pesticides | West Virginia Department of Agriculture (WVDA) | Cottage food, hemp, kratom and pesticide activity fall under WVDA. Confirm which permit applies before you sell or apply anything. |
| Real estate brokerage | Real Estate Commission | Brokers and agents are licensed through the Commission. Confirm current requirements. |
Employees and commuters
A West Virginia employer withholds West Virginia income tax on wages for work done in the state (W. Va. Code 11-21-71). If you have an employee who lives in Ohio, Kentucky, Maryland or Virginia but works at your West Virginia location, the withholding answer can depend on that worker's home state. Withholding on nonresident employees may be offset where the home state gives the employee a credit. Call the State Tax Division at 304-558-3333 before your first payroll, and ask the city whether its per-worker service fee applies to commuters.
A working sequence for a border business
- Fix your West Virginia location. The Business Registration Certificate and city rules attach to it, so choose it first.
- Check the name. Search the Secretary of State business database at http://apps.sos.wv.gov/business/corporations/. An LLC name must contain "limited liability company," "limited company," or an abbreviation such as LLC, L.L.C., L.C. or LC, and it must be distinguishable from every name already registered or reserved. Reserve it for $15 if you need time.
- File the formation document. Submit Articles of Organization (Form LLD-1) for $100 through the WV One Stop Business Portal at https://business4.wv.gov/. Add an expedited fee if you need the filing faster.
- Register with the Tax Division. Apply for the $30 Business Registration Certificate on Form WV/BUS-APP or online at https://business4.wv.gov/.
- Handle city requirements before opening. Get the city business license and confirm the B&O rate, the per-worker fee and the sales tax position.
- Get a sales tax permit if you sell taxable goods or services. Register through the Tax Division's business registration page at https://tax.wv.gov/Business/BusinessRegistration/Pages/BusinessRegistration.aspx.
- Obtain trade licenses. Apply through the agency that governs your trade, using the table above as your starting list.
- Calendar the annual report. File it between January 1 and June 30 each year to avoid the $50 late fee.

When to bring in a professional
An attorney can help with ownership agreements, operating agreements and whether a border business should be an LLC or a corporation. A CPA can model the tax effect of withholding, sales tax and B&O across the line, especially when you have employees, property or customers in another state. This guide covers West Virginia rules only. Any other state where you do business has its own requirements, and nothing here replaces advice tailored to your facts.
