West Virginia Foreign LLC Registration: Register an Out-of-State LLC for $150

West Virginia Foreign LLC Registration: Register an Out-of-State LLC for $150

If your LLC was formed in another state and you want to operate in West Virginia, you will usually need to register it with the Secretary of State before you start. This is called a foreign LLC registration, or an application for a certificate of authority. The state fee is $150, plus the $1.00 online fee if you file through the One Stop Business Portal. This guide covers who has to register, what to gather first, how to file, and the recurring obligations that follow. It is informational only, not legal or tax advice.

Two points trip people up. First, registering with the Secretary of State is a filing, not a license. Second, a foreign LLC doing business in West Virginia still needs the State Tax Division's $30 Business Registration Certificate, which is separate from the Secretary of State filing.

Who has to register

The core question is whether your activity in West Virginia amounts to doing business here. Having employees, a physical location, or regular in-state customers are the kinds of facts to weigh. The State Tax Division's nexus questionnaire (Form WV/NEXUS) is designed to help you answer that question. If the answer is still unclear, a qualified attorney or CPA can review your facts before you file or skip the filing.

A foreign LLC that does only limited qualifying activities in the state may be able to file for an exemption instead of full registration. That option is covered below.

Gather these before you file

1. Get a certificate of existence or good standing from your home state

The West Virginia application requires a certificate of existence or good standing from the state where your LLC was formed, usually issued by that state's Secretary of State. Order a recent one before you file. Fees and turnaround times vary by home state, so check with your home-state office. Confirm with the West Virginia Secretary of State how recent the certificate must be.

2. Check your name

Under WV Code 31B-1-105, the name must contain “limited liability company,” “limited company,” or one of the abbreviations LLC, L.L.C., LC or L.C. “Limited” may be shortened to “Ltd.” and “Company” to “Co.” The name must also be distinguishable from every other name already registered or reserved with the Secretary of State. Search the business database at apps.sos.wv.gov/business/corporations before you assume the name is open.

3. Reserve the name if you need time

If you are not ready to file but want to hold the name, a name reservation keeps it for 120 days for $15. Reservations are made at sos.wv.gov.

4. Plan for a forced DBA if the name is taken

If your legal name is unavailable in West Virginia, you register a “forced DBA name” to use in the state. Trade name filings go to the Secretary of State, not a county clerk. The standard DBA fee for an LLC is $25, plus $1.00 if filed through the portal. Confirm the fee for a forced DBA on the trade name registration page before you file, since the agency's posted figure is the one that controls.

How to file

  1. Go to the One Stop Business Portal and start a foreign LLC registration. You can also file on paper through the Secretary of State's business pages.
  2. Enter the LLC's legal name exactly as it appears in your home-state records, along with your home state and the other information the form requests.
  3. Decide whether to name an agent for service of process. The section is optional, as explained below.
  4. Attach or upload your certificate of existence or good standing.
  5. Pay $150 plus the $1.00 online fee. Paper filers pay the $150 filing fee without the portal fee.
  6. Save the filed receipt and the approved certificate. Your bank, insurer and any city office may ask for them.

Processing time and expedited options

Standard processing for Secretary of State filings is 5 to 10 business days. Confirm the current turnaround for foreign registrations before you commit a launch date. If you need the filing faster, expedited options are available for an added fee on top of the filing fee: in-person same day $25, next business day $25, 2 hour $250, and 1 hour $500.

Exemptions that may apply

Limited-activity exemption

A foreign LLC whose West Virginia activity is limited to qualifying activities may file for an exemption from the certificate of authority for $25. Ask the Secretary of State what counts as a qualifying activity before you rely on this option, because the exemption does not cover every kind of in-state work.

Veteran-owned and active-duty businesses

Under SB 852, which has been in effect since June 10, 2026, certain foreign LLCs are exempt from the certificate fee. Foreign veteran-owned businesses qualify if they started on or after July 1, 2015. Businesses owned by active-duty members qualify if they started on or after July 1, 2021. Ask the Secretary of State what documentation it accepts to prove eligibility. The exemption covers the certificate fee only. The $30 Business Registration Certificate still applies to any West Virginia activity.

After you register

Annual report

The annual report is required and costs $25 when filed between January 1 and June 30 of each year after the year of registration. A report filed after June 30 costs $75, because the $25 fee carries a $50 late fee. Put the June 30 deadline on your calendar the day your registration is approved.

Registered agent

West Virginia does not require a separate commercial registered agent. The agent section on the application is optional, and the agent may be an individual resident, a corporation or another LLC. If you name an agent, keep the name and address current. Changes are filed on Form AAO for $15.00.

Business Registration Certificate

Every individual or business entity must obtain a Business Registration Certificate from the WV Tax Division before engaging in business activity. The one-time fee is $30. The certificate is permanent until the business name, location or ownership changes, and each fixed business location needs its own certificate. Apply on Form WV/BUS-APP or online at business4.wv.gov.

Taxes: what applies to a foreign LLC

West Virginia repealed its business franchise tax, so an LLC pays no state franchise tax. Because an LLC is a pass-through entity, it does not pay the 6.5% corporation net income tax. Members report their share of income on the personal income tax, which runs from 2.11% to 4.58% for tax year 2026. This assumes your LLC is taxed as a pass-through for federal purposes, so confirm that with a CPA.

If you sell taxable goods in West Virginia, you will also deal with the 6% state sales tax. Register for a sales tax permit through the Tax Division's business registration page.

City taxes are where many out-of-state owners get surprised. The state business and occupation (B&O) tax applies only to utilities. The gross receipts B&O tax that hits shops, contractors and service providers is levied by cities, which usually also require a city business license and a weekly per-worker city service fee. In addition, 101 municipalities add a 1% sales tax on top of the 6% state rate, and that number rises to 107 on January 1, 2027. West Virginia has 55 counties and 230 incorporated places, so your obligations depend on where you work. Check with each city where you have activity.

Trade licenses that may apply on top

West Virginia has no general statewide business license. Trade licensing is handled agency by agency, and these are the ones that most often affect LLCs:

  • Contractors: the Contractor Licensing Board requires a license for residential work above $5,000 or commercial work above $25,000.
  • Electricians: the State Fire Marshal.
  • Plumbers and HVAC technicians: the Division of Labor.
  • Alcohol sales: the Alcohol Beverage Control Administration (ABCA).
  • Cottage food, hemp, kratom and pesticides: the West Virginia Department of Agriculture (WVDA).

Common mistakes

  • Assuming the Secretary of State filing covers tax registration. It does not replace the $30 Business Registration Certificate.
  • Filing with an old home-state certificate of good standing.
  • Skipping the name search and learning about a conflict after you have paid.
  • Missing the June 30 annual report deadline, which doubles the cost to $75.
  • Treating a city license as optional because the state did not ask for one.

When to get professional help

A single-member LLC doing simple in-state work may need only the steps above. A multistate operation, a multi-member LLC with a complicated tax classification, or a close call on whether your activity counts as doing business here calls for a qualified attorney or CPA. A few hours of professional review costs far less than unwinding a missed filing.
